Service Overview

TradieEx is an AI-powered platform designed for the construction and restoration industry, providing instant guidance, file storage, user management, and chat-based support. Certain features are restricted to organisation administrators ("Admins").

Eligibility

To use the Service, you must:

• Be at least 18 years old (or the legal age in your jurisdiction).
• Have the authority to bind your organisation if you register on its behalf.
• Provide accurate and complete information when creating your account.

Accounts

• You are responsible for keeping your account credentials secure.
• You must not share your password or allow others to access your account.
• You are responsible for all activities carried out under your account.
• You must promptly update your profile information to remain accurate.

Organisation Roles & Permissions

• Admins can create organisations, invite/remove users, upload files, and manage settings.
• Members can access features as permitted by the organisation’s Admin.
• By joining an organisation, you acknowledge that Admins can manage your access and data within that organisation.

Use of the AI Chat

• Our AI features are designed to provide guidance, not legal, regulatory, or safety-certified advice.
• You are solely responsible for verifying any information provided by the AI before acting on it.
• Do not enter personal, confidential, or sensitive information into the AI chat that you would not want stored.

Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purposes.
• Upload viruses, malicious code, or harmful files.
• Attempt to bypass security or gain unauthorised access.
• Use the Service to infringe on the rights of others, including intellectual property rights.

Use of the Service

• You may use the Service solely for lawful purposes and in accordance with these Terms.
• You are responsible for any content you upload, including PDFs, and for ensuring that you have all necessary rights and permissions to use and share that content.

Use and Handling of Uploaded Content

We are committed to respecting your privacy and the confidentiality of your organisation’s documents. Any content you upload to the Service — including but not limited to PDF documents and other organisation’s documents — is used exclusively to generate output for your individual use. We do not:

• Share, publish, or distribute your uploaded content to other users.
• Use your uploaded content to train, retrain, or improve AI models or improve any of our Service more generally.
• Cross-utilise your content in any way across different user accounts or sessions.

AI-Generated Content Disclaimer

The Service uses generative artificial intelligence to create answers based on the documents you provide. While we strive for accuracy and quality, we make no representations or warranties regarding the correctness, reliability, appropriateness, or usefulness of any AI-generated content.

• Generated content may be incorrect, misleading, incomplete, or inappropriate.
• You use all generated content at your own discretion and risk.
• You are solely responsible for reviewing, verifying, and evaluating the suitability of any content produced by the Service.

TradieEx accepts no responsibility or liability for any harm, loss, or damages arising out of or related to your use of the generated content.

File Uploads

• Only Admins may upload files.
• You must have the right to upload any file you submit.
• You must not upload illegal, offensive, or harmful content.

Data & Privacy

• We do not use, sell, or share your data for advertising, marketing, or training AI models.
• Data you upload or enter into the Service is only used to operate, maintain, and improve your direct experience with the Service.
• We store your data securely and only for as long as needed to provide the Service.
• Your use of the Service is also governed by our Privacy Policy, which provides more detail on how your information is handled.

Intellectual Property

Your content

You retain full ownership of all content you upload to the Service, including but not limited to PDF documents and other documents ("Your Content"). By using the Service, you grant TradieEx a limited, non-exclusive, royalty-free, and revocable license to use Your Content solely for the purpose of generating outputs (e.g., AI-generated answers) for your personal use. We do not:

• Claim any ownership over Your Content.
• Use Your Content to train or improve AI models.
• Share, repurpose, or distribute Your Content to other users or any third parties outside of third-party AI model providers.

Your Content may be temporarily processed by third-party AI model providers (e.g., cloud-based AI services) strictly to generate the requested outputs. In such cases:

• Your Content is not stored by those third parties beyond what is necessary to process the request.
• Those third parties are contractually prohibited from using your content for any other purpose, including training or analytics. For more details, see terms of service of the third party cloud based AI service used by TradieEx: Gemini API Terms of Service.

We do not use Your Content for any purpose beyond delivering the requested results through the Service.

Service Content

The Service itself — including its design, underlying software, algorithms, and all other components not provided by you — is the exclusive property of TradieEx Pty Ltd or its licensors. These elements are protected by intellectual property laws and may not be copied, reproduced, or used without prior written permission, except as expressly permitted under these Terms.

Disclaimer, Warranty Exclusions and Limitation of Liability

You acknowledge and agree that use of the Service is at your sole risk. To the fullest extent permitted by law, TradieEx makes no representation or warranty:

• (a) as to the availability of any product, good, service, process or technology described on the Platform;
• (b) that the functions contained in the Service or your access to the Service will be error-free;
• (c) that any defects on the Service or the Materials will be corrected;
• (d) that any information, apparatus, product, software or process used or disclosed on the Service or any Material accessible from the Service will be accurate, up to date, complete or useful; or
• (e) that the Service or the server which stores and transmits the Material to you are free from viruses or any other harmful components.

To the fullest extent permitted by law, TradieEx, its officers, employees, agents and contractors (TradieEx\'s Group) disclaims all warranties of any kind (whether express or implied) in relation to the Service and the Material and will not be liable for any direct or indirect damage (including special and/or consequential damage, such as loss of business, loss of profits or loss of data) which results from any use or access of, or any inability to use or access the Service or the Material even if TradieEx or any other member of TradieEx\'s Group was made aware of the possibility of such damages.

Without limitation to the foregoing, TradieEx\'s Group acknowledges that the laws in certain jurisdictions including Australia may imply warranties and conditions or impose obligations on the supply of goods and services through or by means of the Service which cannot be excluded, restricted or modified except to a limited extent. If any such laws apply, then to the fullest extent permitted by the law of the relevant jurisdiction and in the case of Australia to the extent permitted by The Australian Consumer Law in the Competition and Consumer Act 2010 (Cth), TradieEx\'s Group limits its liability and if any liability remains it will be limited to any one or more of the following in its sole discretion:

• (a) in the case of any goods, the replacement or repair of the goods, or the supply of equivalent goods, or the payment of the cost of repairing or replacing the goods or supplying equivalent goods; and
• (b) in the case of any services, the supply of the services again or the payment of the cost of having the services supplied again.

Limitation of Liability

To the maximum extent permitted by law, we are not liable for:

• Any indirect, incidental, or consequential damages.
• Any loss caused by reliance on AI-generated responses.

Termination

We may suspend or terminate your access if you violate these Terms. You may delete your account at any time via your profile settings.

Changes to the Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or in-app. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.
